On July 24, 2025, Honghui Fruits And Vegetables Co., Ltd. (Stock Code: 603336.SH, hereinafter referred to as "Honghui"), a company listed on the Shanghai Stock Exchange Main Board, announced the completion of share transfer registration regarding Suzhou Shenze Ruitai Enterprise Management Partnership (Limited Partnership) (hereinafter referred to as "Shenze Ruitai") acquiring 26.54% shares of Honghui from its original controlling shareholder and actual controller Junhui Huang through a negotiated transfer agreement. Junhui Huang will relinquish voting rights, nomination rights, and proposal rights for his remaining 12% shares in Honghui upon Shenze Ruitai's payment of the third tranche of the share transfer consideration. Upon completion of the aforementioned share transfer and voting rights waiver, Shenze Ruitai will become the new controlling shareholder of Honghui, with Tao Ye, Yang Liu and Suzhou Asset Investment Management Group Co., Ltd. (hereinafter referred to as "Suzhou AMC Group") collectively serving as the new actual controllers.
Among Shenze Ruitai's actual controllers, Ye Tao and Liu Yang are co-founders of Shanghai Tenry Pharmaceutical Co., Ltd. with extensive experience in the pharmaceutical industry; Suzhou AMC Group was established based on the existing framework of Suzhou Asset Management Co., Ltd. (hereinafter referred to as "Suzhou AMC"), a state-owned enterprise approved by the Suzhou Municipal People's Government. Through establishing M&A funds, it conducts strategic investments in major projects while serving local enterprises and facilitating the establishment of leading companies and high-quality projects in Suzhou.
The successful completion of this control rights transfer will further optimize Honghui's shareholding structure. All parties will coordinate their premium resources to empower the listed company, promote its long-term stable, healthy and sustainable development, enhance core competitiveness, improve profitability and risk resilience, and ultimately increase corporate value.
