On 19 October 2020, HMT (Xiamen) New Technical Materials Co., Ltd. (" HMT ") the main board listed company announced that Dongyang Huasheng Management Partnership (limited partnership) ("Dongyang Huasheng") and its shares concerted action persons acquire the HMT original controlling shareholder 15.9449% stake and 9.0551% stake respectively. This acquisition involves the sum total of about RMB 1.5 billion, which has been completed on October 19, 2020 the transfer registration procedures.
HMT has benn listed on the main board of the Shanghai Stock Exchange since May 16, 2002. After this transaction, the controlling shareholder of HMT has changed to Dongyang Huasheng. In this transaction, Dongyang Huasheng acquired 15.9449% of HTM's shares through an agreement, and controlled the voting rights of Chinachem Technology's 9.0551% shares by signing concerted action and voting rights entrustment agreements with other parties, realizing HTM's controlling shareholder change of actual controller.
As Dongyang Huasheng's legal counsel, Llinks has provided legal services such as plan design, due diligence, drafting of transaction documents, negotiation and project delivery for Dongyang Huasheng's acquisition of the control rights of HTM.
