Ms. Zhengyi Zhang graduated with an LL.B. from Nanjing University, an LL.M. in Commercial Law from the University of Edinburgh. Ms. Zhang joined Llinks Law Offices in 2005. She is currently a member of the Mergers and Acquisitions and Restructuring Professional Committee of the Shanghai Bar Association.

Ms. Zhang’s practice focuses on Securities Issuance, Mergers and Acquisitions and Corporate Restructure. She has accumulated valuable experience in these areas.

In the areas of Securities Issuance , Ms. Zhang has provided legal services to a number of state-owned enterprises, private enterprises and foreign-invested companies in relation to initial public offering (including A-share market and H-share market ), bond issuance, public or private placement, right offering, back-door listing, and assets restructuring.

In the areas of M&A, corporate restructuring, private funds and venture capital, Ms. Zhang has provided professional legal services to a number of international and domestic companies and investment institutions on mergers, acquisitions, investment and corporate restructuring.

  • Represented Puyuan Materials in the sale of control and the acquisition of control of Yindile through an issuance of shares

  • Represented Shenze Ruitai and Honghui Fruit in acquiring control of Honghui Fruit and in the acquisition of Shimei Pharmaceutical

  • Represented Hong Kong Unifrax Fiber Asia-Pacific Holdings Limited in its tender offer for Luyang Energy-Saving, an A-share listed company

  • Represented CMOC in the acquisition of the copper and cobalt business and the niobium and phosphate business of Freeport and Anglo American, two international mining giants, for RMB 27.5 billion, constituting a major asset acquisition
