On May 18, 2007, Prax Capital Investment Fund entered into an Equity Transfer Agreement with Tianjin Yongtai Hongkan Real Estate Development Co., Ltd. for the acquisition of a 65% share in equity interests in Tianjin Honglei Real Estate Development Co., Ltd. and the co-development of the Original County Project (including a property project and affiliated commercial facilities). The Original County Project is the first real estate development project of Prax Capital Investment Fund in China, in which, Prax Capital Investment Fund will contribute an investment totaling nine figures in RMB. As counsel to Prax Capital Investment Fund, Llinks provided full range legal services for this project, including deal structuring, due diligence, transaction management, preparation of transaction documents, negotiation, and closing coordination.
