Shanghai Yidian Holding (Group) Company ("Shanghai Yidian") and SVA (Group) Co., Ltd ("SVA Group") are both large state-owned enterprises in the sector. This deal includes two parts. One is the takeover of the two listed companies (SVA Information Industry Co., Ltd. and SVA Electron Co., Ltd.) under SVA Group by Shanghai Yidian. The other is the restructuring of the two listed companies. In this deal, the takeover and the restructuring are mutually conditional and shall be executed at the same time. This deal involves dozens of parties and approvals of several administrative departments including the State-owned Asset Supervision and Administration Commission, the State-owned Asset Supervision and Administration Commission of Shanghai Municipal Government, the Shanghai Municipal Commission of Commerce and the China Securities Regulatory Commission. After the transaction procedures were completed, Shanghai Yidian becomes the shareholder of SVA Information Industry Co., Ltd. and SVA Electron Co., Ltd.
