Llinks recently advised as a bank syndicate's PRC legal counsel on a project finance provided to Shanghai Chemical Industry Park Industrial Gases Co., Ltd. (SCIPIG) in Shanghai.  The finance documents were signed on December 20, 2005.  SCIPIG, a foreign-invested company between two international leading industrial gas companies - Air Liquide and Praxair, is established to supply industrial gas to the companies in Shanghai Chemical Industry Park.  The bank syndicate is led and arranged by Calyon, BNP Paribas, ABN AMRO Bank N.V. and China Construction Bank Corporation Shanghai Branch.  Citicorp acted for the sponsors and SCIPIG as financial advisor.  The sponsors will provide completion guarantee until the project is completed and thereafter the financing will be on a limited recourse basis.  Llinks advised the bank syndicate as PRC legal counsel in all aspects, including participating in bankability due diligence, drafting and revising the finance documents, negotiation, providing legal advice on security structure and other legal issues, and issuing legal opinion.
