Llinks Advised on Transfer of Equity Interests in SYWG BNP Paribas AMC

On 1 September 2010, BNP Paribas Asset Management S.A.S., the foreign shareholder of SYWG BNP Paribas Asset Management Co., Ltd. ("SYWG BNPP"), signed an equity transfer agreement with Mitsubishi UFJ Trust and Banking Corporation ("MUTB") and transferred all of its 33% equity interests in SYWG BNPP to MUTB. Shenyin & Wanguo Securities Co., Ltd. and MUTB also signed a new joint venture contract, new articles of associations and other relevant legal agreements. Llinks advised SYWG BNPP on this deal in all aspects including document drafting, negotiating, providing legal and regulatory advice, assisting in preparing all of the application documents and issuing PRC legal opinion. The deal is subject to the approval of the China Securities Regulatory Commission.
