Recently, Llinks successfully assisted a large state-owned enterprise (hereinafter referred to as the "Client") in completing a list removal appeal and legal rectification, successfully prompting the Florida State Board of Administration (SBA) to officially remove the Client from its "Scrutinized Companies with Activities in Sudan List." This move successfully mitigated the risks of foreign investment divestment, potential compliance sanctions, and reputational damage faced by the Client.

[Nature of the List and its Relevant Compliance Risks]

The restricted list is a prohibited and restricted investment list established by the State of Florida pursuant to its Protecting Florida's Investments Act (PFIA). Global enterprises identified as engaging in "scrutinized business activities" such as energy, mineral, power, or military support within Sudan are included in this list. Inclusion on the list signifies that:

• Official public funds, such as Florida public pension funds, will be mandated to divest all investments from the enterprise;

• The enterprise will face more stringent local government procurement bans and compliance reviews by financial institutions in the United States.

[Llinks' primary scope of work]

In this cross-border legal service, the Llinks compliance team demonstrated high-level cross-border coordination and professional judgment. The primary scope of work included:

• Comprehensive Compliance Review and Case Diagnosis: Deeply analyzing relevant Florida statutes (including Florida Statute 215.473, etc.), precisely assessing the compliance boundaries of the Client's historical business, and formulating a comprehensive and systematic exit and appeal plan for the Client.

• Guiding and Driving Substantive Rectification Actions: Assisting the Client in substantially meeting the exemption criteria stipulated by Florida law across relevant aspects, including board resolutions, business carving-out and asset disposal, as well as financial and operational metrics.

• Drafting a Full Set of Core Appeal Legal Documents: Drafting and optimizing the highly persuasive Explanation of Exit Plan for Substantive Action in English, alongside official statements and certifying documents on behalf of the Client.

• Efficient Alignment with US Local Counsel: Closely guiding and coordinating with US local counsel to submit the formal removal application to the Florida SBA, and conducting precise legal analysis regarding the feedback from third-party research institutions' databases.

After months of rigorous progress and efficient communication, the Florida SBA officially accepted the legal opinions and evidence submitted by the Llinks team during its latest quarterly review meeting, thoroughly removing the Client from the prohibited and restricted investment list.
