In the afternoon of January 9, 2019, commissioned by Shanghai Municipal Commission of Commerce, Shanghai Jiaotong University and Wolters Kluwer Group organized a workshop on "Legal Practice on Overseas Mergers and Acquisitions" at Shanghai Jiaotong University. Llinks' partner, Ms. Ming She, was invited to lecture at the workshop, sharing her extensive experience in overseas M&A with representatives from various domestic and overseas well-known enterprises.
With the theme of "Procedures and Precautions for Chinese Enterprises in Overseas M&A", Ms. She had an interactive discussion with the participants at the workshop. Ms. She briefed on the background and status quo of overseas M&A, which helped the participants to have a basic understanding of the recent trend of overseas investment. Ms. She comprehensively analyzed the major issues that need to be considered before an M&A transaction, including commercial purposes, preliminary preparatory work, feasibility studies, sources of funding, etc., with the illustration of a number of classic cases. Further, Ms. She elaborated on the basic procedures of overseas M&A, and advised on the key issues and potential risks involved during the whole process. Ms. She also shared her practice experience regarding issues such as post-investment approval/filing, integration and operation of the target company, etc. During the two-hour workshop, Ms. She focused on connecting the relevant laws and theories with the real-world practice and the participants responded very positively to the workshop.
