On 5 September 2018, the Maples Insights China Offshore Forums 2018 (Shanghai) held by Maples and Calder took place in Park Hyatt Shanghai. Hundreds of guests including but not limited to, the Chief Executive Officer of Cayman Finance, lawyers from Maples, onshore lawyers who worked with Maples, private equity institutions, and asset management institutions, were invited to participate in the forum. Llinks partner, Mr. Lawrence An, was invited to speak on this forum as a guest speaker.
This forum includes several seminars focusing on key offshore legal issues with respect to the China market, including current offshore legal and tax issues in venture capital and private equity, the weighted voting rights system in HKEX, Chinese Depositary Receipts, the formation of U.S. funds, and offshore litigations.
Mr. Lawrence An, as the guest speaker of the topic "Current offshore issues in venture capital and private equity", based on his rich practical experience, discussed thoroughly, with Mrs. May Zhou from PwC, on how to set up offshore structures for the purpose of offshore listings, including the straight-forward red-chip structure and the variable interest entity (VIE) structure, as well as the legal and tax issues with respect to two types of structures in this environment where A-share listings nearly stagnated. Mr. Lawrence An has also provided his unique point of views on hot topics including the effect of Revision Draft of Implementation Regulations on Promotion of Private Education on the VIE structure, and the influence of the China-US trade war on venture capital and private equity.
