On 15 December 2017, the "Merger and Acquisition Training Course for Transactional Management Talents", organized by Shanghai Municipal Commission of Commerce, undertaken by Shanghai Jiao Tong University and Wolters Kluwer jointly, was held at Xuhui campus of Shanghai Jiao Tong University. Llinks partner, Selena She, was invited to be the lecturer for this training course to share her rich experience in overseas merger and acquisition with delegates from well-known domestic and overseas enterprises.
Based on the current status of cross-broader M&A businesses, Selena She took the topic of "Procedures of Overseas M&A for Domestic Enterprises and Related Key Points". She elaborated and analyzed the events and key problems to be cautious of in different phases of overseas M&A such as the early stage, including the deal structure design, intellectual property right protection, and staff arrangement; the middle stage, including legal and financial due diligence, preparing and signing the formal transaction documents, and other events after the completion of the transaction; and the final stage, including remitting profits, reinvestment of overseas investments and quitting an investment. During the whole lecture, Ms. She shared her own experience and provided suggestions accordingly. She also introduced the current regulatory system of overseas M&A and had an in-depth discussion about the related issues with the attendees.
