Ms. Gloria Guo graduated from East China University of Political Science and Law and National University of Singapore, where she successively obtained a Bachelor of Laws (LL.B.), a Master of Civil and Commercial Law, and a Master of International Business Law. Ms. Guo joined Llinks Law Offices in July 2016 and currently holds the title of Intermediate Lawyer in Shanghai.

Ms. Guo has extensive experience in securities issuance, transformation of scientific and technological achievements, M&A and restructuring, and equity incentive programs.
In the area of securities issuance, Ms. Guo has provided legal services to numerous domestic and international enterprises in connection with initial public offerings and listings, non-public offerings (private placements), bond issuances, tender offers and share repurchases, among other transactions.

In the area of transformation of scientific and technological achievements, Ms. Guo has provided legal services in transformation of scientific and technological achievements, financing, and equity incentive programs to leading enterprises and teams in the healthcare and cutting-edge technology innovation sectors. In the area of M&A and restructuring, Ms. Guo has provided legal services for investment and M&A transactions of multiple enterprises, covering listed company control acquisitions, listed company share issuance for asset acquisitions, major asset restructurings, industrial M&A, financial investments, and private equity investments.

  • Represented Hua Hong Semiconductor in its STAR Market IPO (the largest A-share IPO in terms of funds raised in 2023), the issuance of shares to acquire assets, and the raising of ancillary funds

  • Represented Shanghai Electric Wind Power in its STAR Market IPO (the first new-energy spin-off listing)

  • Represented Allist in its STAR Market IPO

  • Represented Red Star Macalline in its A-share IPO, the offer to repurchase H-shares, the private issuance of exchangeable corporate bonds, the public issuance of corporate bonds, the issuance of medium-term notes, and the offshore issuance of USD-denominated bonds

  • Represented Wuxi Hongsheng in its main board IPO

  • Represented Shanghai Electric (601727.SH/02727.HK), Titan Wind Energy (002531.SZ), Sanfangxiang (600370.SH) and Zhongyin (600745.SH) in their acquisitions of assets through share issuance, and their major asset swaps and acquisitions

  • Represented Zhuoyue Automobile in acquiring control of Fond Motor (002196.SZ)

  • Represented Shanghai Cultural Industry Investment Fund, DT Capital and other investment institutions in their investment projects
