Llinks partner Mr. Xun Yang, was invited to attend and delivered an insightful keynote speech titled "Legal Key Points for Conducting BD Transactions—Taking Cross-Border ADC Technology Licensing as an Example."
Leveraging his extensive practical experience and recent transactions that he has handled, Mr. Yang provided an in-depth analysis of the current state and primary models of BD transactions in the ADC (Antibody-Drug Conjugate) drug sector. He elaborated on various transaction models, including Linker Payload platform technology licensing, ADC drug authorization, and collaboration development between Linker Payload and antibodies, highlighting the commercial logic behind these agreements. He placed special emphasis on key legal issues such as intellectual property allocation and data protection.
In the realm of intellectual property, he explored complex issues such as the precise definition of licensed technology, the determination of ownership for improved technologies, exclusivity operations on targets, and arrangements for data sharing. Additionally, in light of the current international situation, he proposed a forward-looking strategy to mitigate geopolitical risks by utilizing the NewCo model, particularly considering the U.S. policy that halts access to NIH data for Chinese researchers.
